Terms of Service

These Terms of Service ("Terms") govern your use of PrimCall's AI receptionist service. By signing up, you agree to these Terms.

1. Service Description

PrimCall provides:

  • AI-powered phone answering (24/7 automated receptionist)
  • Call transcription and summaries
  • Intelligent call routing and FAQ responses
  • Dedicated business phone number (via Twilio)
  • Real-time call notifications (Telegram, SMS, Email)

2. Account Registration

You must:

  • Provide accurate business information
  • Be at least 18 years old
  • Have authority to bind your business to these Terms
  • Keep your account credentials secure

You are responsible for:

  • All activity under your account
  • Maintaining billing information
  • Notifying us of unauthorized access

3. Pricing and Billing

Plans

  • PrimCall Starter: First month free, no setup fee, then $300/month (300 minutes included), unless a valid promotion applies
  • Usage beyond included minutes may incur overage charges at the rate disclosed at checkout or in your order form

Payment Terms

  • A credit card is required to activate service, but $0 is charged at activation
  • There is no setup fee
  • Monthly subscription billing begins after the free first month and auto-renews on the billing date
  • Valid promotions may change the monthly price or billing terms shown at checkout
  • Overages billed in arrears (next billing cycle)

Refunds

  • Cancel before the first billing date to avoid the first monthly subscription charge
  • After monthly billing begins, subscription charges are non-refundable except where required by law
  • Overage charges are non-refundable

Cancellation

  • Cancel anytime (no long-term contracts)
  • Service continues until end of current billing period
  • Phone number released 7 days after cancellation (can port out before release)

4. Acceptable Use

You may NOT use PrimCall for:

  • Illegal activities (fraud, phishing, harassment)
  • Spam or unsolicited marketing calls
  • Adult content, gambling, or illegal substances
  • Impersonating government agencies or emergency services
  • Violating TCPA (Telephone Consumer Protection Act)
  • High-volume telemarketing (use a dedicated call center service)

We reserve the right to:

  • Suspend accounts violating these Terms
  • Report illegal activity to law enforcement
  • Terminate service without refund for violations

5. Service Availability

  • Uptime Target: 99.9% (excluding scheduled maintenance)
  • Maintenance: Announced 48 hours in advance when possible
  • Downtime: No refunds for outages < 1 hour; pro-rated credits for longer outages

We are NOT liable for:

  • Third-party service outages (Vapi, Twilio, internet providers)
  • Force majeure events (natural disasters, wars, pandemics)
  • Your internet or phone connectivity issues

6. Call Recording and Transcription

  • Recording: All calls are recorded for quality and training purposes
  • Consent: By using PrimCall, you consent to call recording
  • Compliance: You are responsible for compliance with local call recording laws (some states require two-party consent)
  • Retention: Recordings stored for 90 days (configurable in settings)

7. AI Accuracy

PrimCall uses AI (Vapi, MiniMax) to understand and respond to calls.

We do NOT guarantee:

  • 100% accuracy in understanding callers
  • Correct answers to all questions
  • Human-level conversation quality

You are responsible for:

  • Providing accurate FAQ content
  • Reviewing call transcripts for errors
  • Following up on critical inquiries

PrimCall is NOT suitable for:

  • Emergency services (911, medical hotlines)
  • Legal or financial advice
  • Safety-critical applications

8. Intellectual Property

  • Your Content: You retain ownership of call recordings, transcripts, FAQ content
  • Our Platform: PrimCall owns the software, AI models, trademarks, and infrastructure
  • License: You grant us a license to use your content solely to provide the service

9. Confidentiality

We will:

  • Keep your call data confidential
  • Not share recordings with competitors
  • Use industry-standard encryption

You acknowledge:

  • Calls may contain sensitive information (caller names, phone numbers, inquiries)
  • You are responsible for informing callers of recording/AI processing

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

PrimCall is NOT liable for:

  • Lost revenue, profits, or business opportunities
  • Indirect, incidental, or consequential damages
  • Damages exceeding fees paid in the 12 months prior to claim
  • AI errors, missed calls, or inaccurate transcripts
  • Third-party service failures (Vapi, Twilio)

11. Indemnification

You agree to indemnify PrimCall against claims arising from:

  • Your violation of these Terms
  • Your violation of laws (TCPA, GDPR, etc.)
  • Content you provide (FAQ answers, greetings)
  • Misuse of the service

12. Dispute Resolution

  • Governing Law: Florida, USA
  • Arbitration: Disputes resolved via binding arbitration (American Arbitration Association)
  • No Class Actions: You waive the right to join class-action lawsuits
  • Small Claims: Either party may file in small claims court instead of arbitration

13. Changes to Terms

We may update these Terms. We will:

  • Notify you 30 days before material changes
  • Post updated Terms on this page
  • Continued use after changes = acceptance

14. Termination

We may terminate your account if:

  • You violate these Terms
  • You fail to pay invoices (30 days past due)
  • You engage in fraudulent activity
  • We discontinue PrimCall (60 days notice + pro-rated refund)

Upon termination:

  • Access to dashboard ends immediately
  • Phone number is released within 7 days
  • Call recordings are deleted after 90 days (request export before termination)
